Anthropic's IPO

Missed filing date leaves traders split on an Anthropic IPO before December

No public filing has appeared after one was expected Friday, but Reuters reports a prospectus due in late October and a roadshow in November.

Traders now see it as a toss-up whether Anthropic's shares will be listed and open for trading by the end of November, a sharp drop from the weekend's start, when a listing looked likely.

The likely reason is a slipped filing date. Yahoo Finance reported that Anthropic could publicly file its registration statement, known as an S-1, as early as Friday, Oct. 23. No public filing had appeared by Sunday. Reuters, in a report on the IPO market, still described the prospectus as due in late October and the roadshow as planned for the week of Nov. 9, though it said the timetable could change. The missed date adds uncertainty to a November listing, but a reported Oct. 26 filing plan keeps the schedule alive.

The odds have swung widely over the past week. They climbed from Oct. 19 to Oct. 22 and reached a likely level. They fell on Friday, steadied on Saturday and slid again on Sunday, mostly in the afternoon. Other timing questions point the same way. A listing by Dec. 15 or by the end of December is still seen as likely. A listing by Nov. 20 is unlikely, and one by Nov. 15 is a long shot. Taken together, traders' expectations center on late November, with a range running from mid-November to no listing by the end of the year.

The rise earlier in the week coincided with several developments, though reporting does not establish them as the cause. At an Oct. 14 investor meeting, Anthropic reported third-quarter revenue of $16.8 billion, up 45% from the prior quarter, along with adjusted profitability, according to Reuters. On Oct. 18 the company said 5% of its shares would be committed to a new public-benefit fund, subject to stockholder approval.

Anthropic confirmed on June 1 that it had confidentially submitted a draft S-1 to the Securities and Exchange Commission, saying an offering would depend on SEC review and market conditions. Bloomberg reported on Oct. 1 that the company was targeting a mid-November debut. Reuters has also reported that the confidential prospectus warns government attitudes could hurt customer relationships.

What comes next is a public filing. IFR reporting cited Oct. 26 as the planned date. SEC guidance says confidential submissions should be made public at least 15 days before a roadshow, so a prompt filing matters if the Nov. 9 timing holds. A filing or roadshow would not settle the question on its own. The shares must actually be listed and open for trading by 11:59 p.m. ET on Nov. 30, and further delay, a canceled offering or weaker market conditions could push that out of reach.
